Terms of Service
Last updated October 4, 2026
By using woodbridge.agency, or asking us to build, design or run something for your business, you are agreeing to the terms below. They are written the way everything else on this site is written — plainly, and the way we would want to read them if we were the client.
Who we are
OptimusYou LLC, doing business as Woodbridge Agency, provides the services described on this site — custom website rebuilds and design, brand and graphic design, AI website concierges, AI phone receptionists, and business automation and custom tools — to businesses in New Jersey and beyond. Woodbridge Agency grew out of Woodbridge Printing, the family print shop running since 1980, but these terms cover only the digital services Woodbridge Agency provides — not print jobs ordered through Woodbridge Printing directly. Questions about these terms go to hello@woodbridge.agency.
Free website reviews, quotes, and discovery calls
Submitting the website-review form or the discovery-call form is a request, not an order — on its own it does not create a contract between us. What actually happens:
- Matt reads your request personally.
- For a website review: within 3 business days you get a short review of your homepage and main inquiry path, with three prioritized recommendations in plain English. It is not a full technical audit, a scored report, or a free redesign.
- For a discovery call: Matt replies by email, or by phone if you gave a number, to agree a time. Submitting the form does not book a slot.
- If a project makes sense, you get a written proposal setting out the scope, the fixed price for that scope, the schedule, and any ongoing costs. Reviews, calls and proposals are free.
The chat on this site and everything else published here are general information, not a quote or an offer. Only a written proposal sets a price.
A contract for actual work exists only once we have given you a written proposal and you have told us — in writing, an email is fine — that you accept it. Nothing is billed and no work starts before that.
Proposals and payment
Project work is a fixed price for the agreed scope — agreed in writing before work starts, not an hourly meter. If you ask for something outside that scope, we will price it and get your approval in writing before doing it.
Payment terms for a specific project, including whether a deposit is required and when any balance is due, are set out in the written proposal for that project, and that proposal governs for that project rather than this page.
The same is true if a project is canceled partway through: what happens to a deposit or any payment already made is set out in the written proposal you accepted, which governs. We do not publish a general cancellation-refund policy here, because the right answer depends on the specific project and how far it got — that is exactly what the proposal exists to settle up front.
Ongoing costs are separate from the project price. Hosting, maintenance, content edits, growth work and AI services are each listed in your proposal, including any monthly fees and any charges that vary with usage, so you know what continues after launch before you agree to anything.
Your content and timing
If you give us text, photos, logos or anything else to include on your site, you are confirming that you own it or have permission to use it, and that using it will not infringe anyone else’s rights. We do not independently verify the material you send us — that responsibility stays with you. You keep ownership of anything you supply to us.
Who supplies which content, and when, is agreed in your proposal. Schedules assume content, feedback and approvals arrive when agreed; if they are delayed, the schedule moves with them.
Ownership of the finished work
You should own what you paid for. Once a project is paid in full:
- You own the finished site as delivered — your content, the copy we wrote for you, any logos or brand assets designed for you, and the design of your specific pages.
- We keep our own toolkit. Woodbridge Agency retains ownership of its pre-existing and general-purpose material — reusable code, components, frameworks, templates and internal tooling used across client projects — and grants you a perpetual, non-exclusive license to keep using that material as part of the site delivered to you.
- Third-party assets — fonts, stock images, plugins, libraries and software services used in your build — are licensed under their own terms and owned by neither of us. Your rights in them are whatever that license grants; check it before reusing one elsewhere.
Ownership transfers on final payment, not before — while a project is in progress or unpaid, the work stays ours.
We may show work we have done for you — in our portfolio, in case studies, and in the “Our work” section of this site — and we will describe it accurately, including our relationship to the business. If you would rather we did not feature yours, just ask and we will take it down.
AI concierges and phone receptionists
If we set up an AI website concierge or AI phone receptionist for your business:
- It answers from information you approve. Keeping that information accurate, and telling us when it changes, is your responsibility.
- AI can make mistakes. We agree with you where a person takes over and what the assistant should never decide on its own, but we cannot guarantee every answer it gives is correct.
- It runs on third-party AI and telephone services, so its availability depends on theirs. Bookings and other actions only work where your own systems support a connection.
- You are responsible for how you use it with your customers, including any notices or consents your business needs to give them.
Ongoing support and monthly services
What a hosting, support or AI service arrangement includes is whatever your proposal lists — including what you can update yourself, what we manage, and how support requests are handled.
Unless your proposal says otherwise, monthly services are month-to-month. No long-term contract, no early-termination fee, no notice period to satisfy — cancel any time by emailing hello@woodbridge.agency. Cancellation takes effect at the end of the current paid month: we do not refund that month, and we do not charge you again after it ends.
Your site does not go dark the day you cancel. If we host it, it stays online for 30 days after your last paid month, so you have a real window to move it elsewhere rather than a countdown designed to make leaving painful. On request we will give you a full export of your site files. Your domain, and any accounts registered in your name — hosting, email, anything else — stay yours throughout; we never held them hostage to begin with, and canceling does not change that.
We built it this way on purpose. A website you cannot leave is not a service, it is a lock-in — and that is not the kind of shop we are.
Third-party services
Running this website, processing a review or call request through its forms, and answering the chat involves a small number of outside services: Vercel (hosting), Resend (email delivery), Google Fonts (typefaces) and Anthropic (the AI model behind the chat). Our privacy policy has the full list and what each one does. Projects we build for you may also rely on third-party services — hosting, domains, AI providers, booking or CRM tools — which we will name in your proposal and which are governed by their own terms. We are not responsible for outages or issues caused by these providers, though we will tell you if one affects your project.
What we’re not responsible for
We do good work and stand behind it, but:
- We do not guarantee specific results — traffic, leads, search rankings, visibility or citations in AI search, or sales — from any website, concierge, receptionist or tool we build. Outcomes depend on more than the work itself.
- We are not responsible for outages, bugs or issues caused by third-party services we rely on (hosting, email delivery, or any AI or telephone service powering a concierge or receptionist) once they are outside our own code.
- We are not responsible for content you asked us to publish that later turns out to be inaccurate or outdated. Changes you want after launch are covered by a support arrangement or separately quoted work, not by the original project.
Our services are provided “as is”, without warranties beyond those New Jersey law does not allow us to disclaim.
Limitation of liability
To the extent allowed by law, Woodbridge Agency’s total liability for any claim relating to our services is limited to the amount you actually paid us for the specific work giving rise to the claim. We are not liable for indirect, incidental or consequential damages — lost profits, lost business or similar — arising from our services.
Cancellation
A one-time project can be canceled before work is substantially underway. What happens to a deposit or any payment already made is governed by the written proposal for that project — see “Proposals and payment” above. A monthly service can be canceled any time, effective at the end of the current paid month — see “Ongoing support and monthly services” above.
Website use
You are welcome to browse woodbridge.agency freely. When you use our forms or chat, please do not submit false information, attempt to overload or break the site, or try to reach parts of it that are not meant to be public. If you do, we can suspend or block access.
Your account
If we set you up with a login to the client portal, you are responsible for keeping it to yourself and for what happens under it. Tell us straight away if you think someone else has got access.
Intellectual property
The content on woodbridge.agency itself — our copy, design and branding — belongs to Woodbridge Agency. Nothing here transfers rights in our own site to you just by browsing it or submitting a form.
Changes to these terms
We may update these terms from time to time; the date at the top will change when we do. If you are an active client we will try to flag anything that meaningfully affects you directly, rather than relying only on this page.
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute that cannot be resolved directly between us would be handled in the state or federal courts of New Jersey.
